Terms of Service
1. Who we are
Modwheel Academy is operated by Modwheel Studio LLC, a limited liability company registered in the State of Wyoming, United States ("Modwheel Academy", "we", "us").

These terms govern your use of modwheelacademy.com (the "Site") and any course you purchase through it (the "Courses"). By using the Site or buying a Course, you agree to them. If you don't agree, don't use the Site.
2. Payments and who you buy from
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service enquiries and handles returns.
This means that when you buy a Course, your contract of sale is with Paddle, not with us. Paddle handles payment processing, invoicing, and the collection and remittance of any applicable sales tax or VAT. We never see or store your full payment card details.
Paddle's own terms and privacy policy apply to the payment transaction and are available at paddle.com.
3. Buying a Course
Courses are sold as a single one-time purchase. There is no subscription and no recurring charge.
Prices are shown on the Site in US dollars and may be converted or adjusted for local tax at checkout by Paddle. Prices can change at any time, but a change never affects a Course you have already bought.
When your payment is confirmed, you get access to the Course materials. Access does not expire, and it includes any later revisions or additions we make to that same Course. We may add entirely new Courses; those are separate purchases.
If we ever have to retire a Course — for example if a contributing instructor withdraws — we will give you reasonable notice and a way to download the materials you bought.
4. Refunds
We offer a 14-day refund window from the date of purchase.
To request a refund, contact Paddle (who handle returns as Merchant of Record) or write to us at hello@modwheelacademy.com and we will pass it on.
We may decline a refund where there is evidence of abuse — for example, downloading the complete Course materials and then requesting a refund, or repeated purchase-and-refund cycles across Courses.
Because Courses are digital goods delivered immediately, statutory withdrawal rights that would otherwise apply may be waived at checkout where the law permits. Paddle handles this disclosure at the point of sale.
5. What you can and can't do with the materials
When you buy a Course, we grant you a personal, non-transferable, non-exclusive licence to access and use the Course materials — including videos, project files, patches, samples and stems — for your own learning and your own music.
You may:
- Use anything you make with the project files, patches, samples or stems in your own tracks, including commercial releases, with no royalty owed to us.
- Keep local copies of downloadable materials for your own use.
You may not:
- Share, resell, sublicense, or redistribute the Course materials.
- Upload the materials anywhere publicly accessible, or share your account access with others.
- Repackage the samples, patches or stems as your own sample pack, preset pack, or teaching material.
- Use the materials to build a competing course or training product.
We keep all copyright and other intellectual property rights in the Courses. Nothing here transfers ownership to you.
6. Your account
If a Course requires an account, you're responsible for keeping your login details secure and for anything done under your account. Tell us promptly if you think someone else has access.
We may suspend or close an account that breaches these terms — most commonly for sharing access or redistributing materials. Where we close an account for a clear breach, we are not obliged to refund it.
7. Instructors
Courses are taught by guest instructors. Instructors are independent contributors, not employees or agents of Modwheel Studio LLC. Views, techniques and opinions expressed in a Course are the instructor's own.
Your contract for the purchase is with Paddle, and your licence to the materials is from us. You have no separate contract with an instructor.
8. What we don't promise
The Courses are educational material. We don't promise that taking one will produce any particular musical, commercial or career outcome.
The Site and the Courses are provided "as is". To the fullest extent the law allows, we exclude implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We try to keep the Site and Course materials available, but we don't guarantee uninterrupted access. We may need to take things down for maintenance or for reasons outside our control.
9. Limitation of liability
To the fullest extent permitted by law, Modwheel Studio LLC is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data, or lost opportunity, arising from your use of the Site or the Courses.
Where liability cannot be excluded, our total liability to you is limited to the amount you paid for the Course giving rise to the claim.
Nothing here limits liability for fraud, fraudulent misrepresentation, or anything else that cannot lawfully be limited.
10. Third-party software and services
Courses reference third-party software such as digital audio workstations, plugins and instruments. We are not affiliated with, endorsed by, or sponsored by those vendors, and we don't supply licences for them. You are responsible for obtaining and licensing any software you need.
Trademarks and product names belong to their respective owners and are used for identification only.
11. Changes to these terms
We may update these terms. When we do, we'll change the "Last updated" date above, and for material changes we'll give notice on the Site or by email where we have your address.
Changes apply going forward. They don't retroactively change the terms of a Course you already bought.
12. Governing law
These terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws rules. Disputes will be handled in the courts of that jurisdiction.
If you are a consumer, this does not deprive you of the protection of mandatory consumer-law provisions in your country of residence.
